End-User License Agreement
Welcome to OpsReef. These Terms of Service ("Terms") govern your access to and use of the OpsReef platform, including all related services, features, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, accessing, or using OpsReef, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
OpsReef is a cloud-based rental management platform designed for audio-visual, event, and equipment rental companies. The Service includes job management, inventory tracking, invoicing, payment processing, CRM, crew scheduling, timeclock, CAD design tools, and related functionality.
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

The Service, including its design, code, features, documentation, and branding, is owned by OpsReef and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
The Service may integrate with third-party services (e.g., QuickBooks, Stripe, Google Calendar). Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.
Payment processing services are provided by third-party payment processors. By using payment features, you agree to the terms of the applicable payment processor. We do not store raw credit card numbers on our servers. We are not liable for any issues arising from third-party payment processing.
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice when possible. We are not liable for any downtime, interruptions, or data loss resulting from events beyond our reasonable control.
To the maximum extent permitted by law, OpsReef and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
You agree to indemnify, defend, and hold harmless OpsReef and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Nashville, Tennessee.
